Why did I receive a one-page notice in the mail regarding the Internet availability
of proxy materials this year instead of a full set of printed proxy materials?
If you were a shareholder of AEP common stock as of the Feb. 27, 2008, record date,
we sent you a Notice of Internet Availability of Proxy Materials. We mailed this
notice March 12, 2008.
In July 2007, the Securities and Exchange Commission (SEC) issued a new "Notice
and Access" rule that allows companies to provide access to proxy materials through
the Internet as an alternative to the traditional delivery of printed proxy materials.
By implementing this rule, AEP reduced the number of printed copies of its annual
report and proxy materials this year by 87 percent, significantly reducing the environmental
impact and lowering the cost of producing and delivering these materials.
However, AEP will gladly provide you with hard copies of these materials upon request.
We will mail them to you within three business days of your request.
By following the instructions in the Notice of Internet Availability of Proxy Materials,
you may access our proxy materials on the website referred to in the notice. The
notice also includes instructions on how to vote your shares and request printed
copies of the proxy materials.
How do I access AEP's Annual Meeting materials online?
The notice you received provides an Internet address and instructions to view our
proxy materials for the 2008 Annual Meeting online. AEP's 2008 proxy statement,
2007 Summary Annual Report and the Financial Statements can also be viewed on AEP's
website at www.aep.com/investors/annrep.
How do I request a paper copy of the proxy materials?
We recognize that many shareholders enjoy receiving and reading a hard copy of the
annual meeting materials. Paper copies of AEP's annual meeting materials are available
at no cost to you upon your request. To request a paper copy of the proxy materials,
follow the instructions on the notice that you received in the mail. You may also
ask to receive proxy materials in printed form by mail on an ongoing basis.
How do I vote my shares of AEP stock?
If you were a shareholder as of the Feb. 27, 2008, record date, you may vote your
shares via the Internet by following the instructions in the Notice of Internet
Availability of Proxy Materials. Registered shareholders can access this material
at www.envisionreports.com/AEP.
"Street name" holders may access the material at www.proxyvote.com. To vote your shares via the Internet,
you will need to have the access control number that is shown on your notice. If
you ask to receive printed copies of the annual meeting materials by mail, you may
also vote by signing and submitting your proxy card and returning it by mail, or
you can vote by telephone. All proxies properly submitted will be counted at the
annual meeting and voted in accordance with your instructions. If you submit your
proxy without voting instructions, your shares will be voted in accordance with
the recommendations of the Board of Directors.
What is the difference between holding shares as a registered shareholder of record
and as a beneficial owner of shares held in "street name"?
If your shares are registered directly in your name with our transfer agent, Computershare
Trust Company, N.A., you are considered the "shareholder of record" of those shares,
and the notice was sent directly to you by mail March 12, 2008. If your shares are
held in an account at a brokerage firm, bank, broker-dealer or other similar organization,
you are the beneficial owner of shares and the notice was forwarded to you by your
bank or broker. As a beneficial owner, you have the right to direct your bank or
broker-dealer about how to vote the shares held in your account.
When and where is the annual shareholder meeting?
AEP's 2008 Annual Meeting of Shareholders will be held April 22 at 9:30 a.m. Eastern
Daylight Time at the Hotel Roanoke & Conference Center, 110 Shenandoah Avenue, Roanoke,
Virginia. The meeting will also be webcast live at
www.AEP.com/go/webcasts.

From I-81, take Exit 143 onto I-581 South. Take Downtown Exit #5 and stay in the
right exit lane. At the stop sign, cross over Wells Avenue into the parking lot.
From Route 220 going north, Route 220 becomes I-581 North. Take Elm Avenue Exit
#6 and make a left at the light. Make a right at the second light onto Williamson
Road. At the fifth light, make a left onto Wells Avenue and turn left into the parking
lot.
From Route 460 going west, 460 West becomes Orange Avenue. Make a left onto Williamson
Road. Make a right onto Wells Avenue and turn left into the parking lot.
From Roanoke Regional Airport, make a right out of the parking lot onto Thirlane
Road. Take the first Hershberger exit. Take the I-581 South Downtown Exit to Downtown
Exit #5. Stay in the right exit lane and, at the stop sign, cross over Wells Avenue
into the parking lot.
Do I need an admission ticket to attend the annual meeting?
You need to bring documentation showing that you owned shares of AEP on the record
date of Feb. 27, 2008. If you are a registered shareholder, you can present the
Notice of Internet Availability of Proxy Materials that you received in the mail.
If you voted your shares electronically via the Internet, you can print an admission
ticket after you have voted by clicking on the "Options" button. Or, if you are
a registered shareholder who received the proxy materials by mail, your admission
ticket is attached to the proxy card.
If you hold your shares in "street name" through a bank or broker, you may bring
the notice that was mailed to you, contact your bank or broker to request a "legal
proxy" or bring a copy of your broker statement to the meeting showing that you
owned shares on the record date.
Is parking free at the annual meeting?
Shareholders who use Valet Parking at the meeting at the Hotel Roanoke & Conference
Center will have their expenses covered by AEP.
